Payward, the parent company of the cryptocurrency exchange Kraken, has entered into a definitive agreement to acquire Bitnomial for up to $550 million. Bitnomial is recognized as the first fully CFTC-licensed derivatives platform in the United States specifically designed for digital assets. This acquisition is significant as it combines Bitnomial's extensive regulatory infrastructure with Payward's global client base and liquidity. Bitnomial has spent over a decade securing essential licenses, establishing itself as a leader in crypto-native derivatives, including the first U.S. perpetual futures and regulated crypto margin collateral. The acquisition will allow Payward to offer regulated derivatives products across its major markets and enhance its B2B infrastructure platform, Payward Services, which will enable partners to integrate these products seamlessly. The deal is expected to close in the first half of 2026, subject to customary conditions. Advisors for the transaction include PJT Partners and Haynes Boone for Bitnomial, and Jones Day for Payward.
